Professional Practice / Partnership Issues

  • Representation of the partners of a prominent New York law firm looking to dismiss an ill senior partner. Working with factions who favored either a tough love approach or one of compassion to a long-time friend and colleague, we reached a satisfactory resolution for all parties and headed off any adverse publicity following the partner's dismissal.
  • Representation of a boutique law firm contemplating a merger opportunity with a larger firm, with a different area of specialty. We assisted the client in evaluating the impact of the proposed merger on issues such as firm recognition and the impact upon its clients, management and various “corporate culture” issues and worked with the client in the analysis of different approaches to partner compensation and management structure for the proposed new firm.
  • Representation of a medical practice and its partners in the negotiation of a dissolution agreement and the separation of the practice. In addition to arranging for an amicable division of property and other assets, we assisted in all other phases of the separation, including the handling of existing patients through the use of patient release forms and of new clients involving the re-routing of phone calls and by mail announcements. We also assisted the departing partner in the formation of a new professional corporation and in his office lease negotiations.
  • Representation of various professionals in the formation of a partnership, from the drafting of a shareholders' agreement to the negotiating of new office lease arrangements. Typical issues include compensation, death and disability, separation contingencies, new partner guidelines, and restrictive conveyance concerns.
  • Representation of audiologists who retained us to litigate a proposed split of their practice after unsuccessful attempts with other lawyers to arrive at a negotiated settlement. Working with all parties, we averted litigation and negotiated an asset purchase agreement, vendor and employee agreements, future use of trade name, a new lease agreement and an amicable division of all assets.
  • Representation in the selling of a pharmacy practice to junior pharmacists already in the business. We implemented a phase-down retirement approach that ensured the viability of the operation during the transition resulting in a smooth conversion of ownership.
  • Representation of a Park Avenue cardiologist seeking an injunction to preserve patient records and prevent the stealing of equipment and other harassing behavior by his partner.
